These Terms of Service ("Terms") govern your use of SermonKeep for Churches: the web application at
app.sermonkeep.com and its pages on sermonkeep.com
(together, the "Service"). The Service is operated by Khawnan Management Solutions LLC, a Delaware
limited liability company ("we," "us," or "our").
If you create an account or use the Service on behalf of a church, ministry or other organization, you
confirm that you are authorized to accept these Terms for it, and "you" means both you and that
organization. If you do not agree with these Terms, do not use the Service.
Our Privacy Policy explains how we handle personal information
in the Service. The SermonKeep iPhone app is a separate product with its own
terms and privacy policy.
1. The Service
SermonKeep for Churches turns recorded sermons into written, searchable material. With the Service you can:
upload sermon audio (MP3, M4A, WAV or other audio formats) or, on plans that include it, paste a YouTube link;
get a transcript produced by automated speech recognition, with timestamps and speakers;
run an automated review that proposes corrections to spelling and recognition errors, which you accept or reject;
see the scripture references found in the sermon, with the verse text;
generate material derived from the transcript, such as a summary and outline, clips and quotes, a small
group guide, and a YouTube or podcast description;
keep a library you can search by title, passage, series, preacher and the words inside its transcripts; and
export transcripts and material, for example as PDF, Word or plain text.
We may add, change or remove features over time. Some features are available only on certain plans, as
shown in the app and on our plans page.
2. Accounts and church workspaces
You can sign up with an email address and password or with your Google account. You must give us accurate
information and keep it up to date.
Every account belongs to one organization, which we call a church workspace. The person who creates the
workspace is its first admin. Admins can invite other people by sharing an invite link. There are two roles:
Admins can do everything members can, and also manage the plan, payment
method and subscription, invite and remove members, and delete sermons.
Members can upload, transcribe, review and edit sermons, manage series,
generate material and export.
An invite link works like a key to your workspace. Share it only with the people you mean to invite, and
revoke links you no longer need. You are responsible for keeping your credentials secure and for all
activity in your account and workspace. Tell us right away at
hello@khawnan.com if you suspect unauthorized access.
The Service is meant for churches and ministries and the adults who work with them. It is not directed at
children under 13, and children under 13 may not create an account.
3. Your sermons belong to your church
Sermons, transcripts and generated material in a workspace belong to the church that owns the workspace,
not to the individual who uploaded them. When a member leaves or is removed, the sermons they added stay in
the workspace. Admins decide who has access and what is deleted.
4. Your content and your rights to it
You keep all rights
Your church keeps all rights to the sermons you upload and to the transcripts and material the Service
produces from them ("Your Content"). We do not claim ownership of Your Content.
The limited license you give us
You give us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process,
transmit and display Your Content only as needed to provide the Service to you. This includes sending it
to the service providers listed in our Privacy Policy
that do the transcription, review and generation work. We do not sell Your Content, publish it, or use it to
advertise. The license ends when Your Content is deleted from the Service, as described in section 10.
You must have the right to upload it
Upload only content you have the right to use: your own sermons, your church's sermons, or recordings you
have permission to process. Do not upload or link content that belongs to someone else without their
permission, such as another church's or ministry's sermons, commercial music or recordings, or a YouTube
video you have no rights to. You are responsible for any consent your local law requires to record and
process the voices of people in a recording.
5. Automated transcripts and generated material
Transcripts are produced by automated speech recognition, and the review suggestions, scripture references
and generated material are produced by automated processing using language-model providers. They can
contain errors: misheard words, wrong names, missed or misidentified scripture references, and mistakes in
generated material.
The Service is designed never to rewrite what the preacher said. The transcript records the words as they
were recognized, and corrections are only proposed for you to accept or reject. Generated material is
derived from the transcript and is not a substitute for it.
You are responsible for reviewing transcripts and generated material before you
publish, print or share them. They are tools for your ministry, not theological, pastoral, legal or
other professional advice.
Verse text shown next to scripture references comes from public Bible text sources, and each translation
remains subject to its copyright holder's terms.
6. Plans, billing and usage
Free sermon
Each church workspace can transcribe one sermon for free, up to 60 minutes of audio, once. No payment card
is required for the free sermon. It does not renew.
Paid plans
Paid plans include a monthly allowance of audio:
Pastor: $24 a month, 10 hours of
audio a month.
Church: $49 a month, 25 hours of
audio a month.
Annual billing costs ten times the monthly price, paid once a year. On annual plans the audio allowance is
also counted per month. The allowance resets at the start of each
monthly cycle, and unused hours do not roll over. Current prices and plan contents are shown in the app and on our
plans page, and the price shown when you subscribe is
the one that applies. Prices are in US dollars.
Extra audio and limits
Audio beyond your plan's allowance is processed normally and billed at $2 per hour,
prorated per minute, on your next invoice.
A single sermon can be up to 3 hours long.
Automated generation (review passes and generated material) is subject to a monthly fair-use limit per
church workspace, so the Service stays fast and affordable for everyone. If your church reaches it,
generation pauses until the next cycle; transcripts and the rest of the Service keep working.
Payment and renewal
Payments are processed by Stripe. Your card details go directly to Stripe; we do not see or store your full
card number. Subscriptions renew automatically at the end of each billing period, monthly or annually, and
the payment method on file is charged, until you cancel. If a payment fails, we may pause paid features until
it is resolved.
Changing plans and cancelling
Upgrades, including switching from monthly to annual billing, apply
immediately. You are charged a prorated amount for the rest of the current billing period, shown before
you confirm.
Downgrades, including switching from annual to monthly, take effect at the
end of the current billing period.
Cancellation takes effect at the end of the current billing period. Admins
can cancel at any time from Billing in the app. You keep access until that date, and your transcripts and
material stay readable afterwards while your workspace exists.
Refunds
If SermonKeep is not a fit, write to us at hello@khawnan.com
within 30 days of your church's first payment and we will refund that payment. This guarantee applies once
per church: renewals, later payments and later subscriptions are not covered. Otherwise, fees are
non-refundable except where required by law or at our discretion.
Price changes
We may change our prices. If a change affects your subscription, we will tell you in advance by email or in
the app. The new price applies from your next renewal, and you can cancel before it takes effect.
7. Acceptable use
You agree not to:
upload, link or generate content that is illegal, or that infringes anyone's copyright, privacy or other rights;
use the Service to harass, threaten, defraud or harm anyone;
abuse or disrupt the Service, including by overloading it, probing or testing its security without our
permission, or interfering with other users;
create accounts or workspaces by automated means, or create several to get more free sermons;
circumvent plan allowances, fair-use limits, the per-sermon length limit or any other usage limit or
access control;
reverse engineer, decompile or copy the Service or its software, except to the extent the law expressly
allows it;
access the Service with bots, scrapers or other automated tools except through features we provide for
that purpose;
resell the Service, or share accounts or access with people outside your church; or
use the Service in violation of any applicable law, or of the terms of the third-party services it connects to.
We may remove content or suspend access that we reasonably believe violates this section.
8. Third-party services
The Service relies on third-party providers, listed in our
Privacy Policy. When you sign in with Google or import
from YouTube, you also agree to Google's and YouTube's terms. We are not responsible for third-party
services, and changes or outages on their side may temporarily affect features of the Service.
9. Our intellectual property
The Service, its software, design and branding are owned by Khawnan Management Solutions LLC or its
licensors. These Terms give you a limited, non-transferable right to use the Service while your account is
active; they do not transfer any ownership. If you send us feedback or suggestions, we may use them without
any obligation to you.
10. Cancellation, closure and termination
Deleting sermons
Admins can delete individual sermons at any time. Deleting a sermon deletes its audio file, transcript and
generated material from the Service.
Closing your account or workspace
You can ask us to close your account, or an admin can ask us to close your church's workspace, by writing to
hello@khawnan.com. Cancel any active subscription first, or
we will cancel it as part of the closure. When a workspace is closed, its sermons, audio, transcripts and
generated material are deleted within 30 days. Billing records are
kept by us and by Stripe for as long as the law requires.
Ended subscriptions and inactive workspaces
Audio files are the largest part of what we store. If a workspace's paid subscription ends, or a workspace
without a subscription is inactive for 3 months, we may delete its audio files 3 months later. We will keep
its transcripts and generated material, so they are still there if the church comes back, until the
workspace is closed. You can download your transcripts and material from the app at any time.
Our right to suspend or terminate
We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the
Service in a way that creates legal risk or harms other users. Where practical, we will tell you first and
give you a chance to fix the problem and export Your Content. If we stop offering the Service altogether,
we will give you reasonable notice so you can export Your Content.
Sections 3, 4, 5, 6 (for amounts owed), 11, 12, 13, 15 and 16 continue to apply after these Terms end.
11. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all
warranties, express or implied, including warranties of merchantability, fitness for a particular purpose,
accuracy and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, or
that transcripts or generated material will be accurate or complete. Keep your own copies of recordings
that matter to you.
12. Limitation of liability
To the fullest extent permitted by law, Khawnan Management Solutions LLC and its suppliers will not be
liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of
profits, revenue, goodwill, data or reputation, arising out of or related to the Service or these Terms,
even if we were told such damages were possible.
Our total liability for all claims arising out of or related to the Service or these Terms is limited to
the amount you paid us for the Service in the 3 months before the event giving rise to the claim, or
US$50 if you have not paid us. The Service costs a fraction of human transcription because it is
automated; you agree that this limit reflects that price and that reviewing the material before you rely
on it is your responsibility.
Some jurisdictions do not allow these limitations, so some of them may not apply to you.
13. Indemnification
You will defend and indemnify Khawnan Management Solutions LLC against third-party claims, and the
resulting losses and reasonable costs, that arise from Your Content (including a claim that you did not have
the right to upload it) or from your violation of these Terms or the law.
14. Changes to the Service and these Terms
We may update these Terms. We will post the new version on this page with a new "Last updated" date. If a
change is material, we will tell your workspace admins by email or in the app before it takes effect. If you
keep using the Service after the change takes effect, you accept the updated Terms; if you do not agree, you
can cancel and close your account.
15. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws
rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in
the state or federal courts located in Delaware, and you and we consent to their jurisdiction.
16. General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and they
replace any earlier understandings about it.
If any part of these Terms is found unenforceable, it is limited to the minimum extent necessary and the
rest stays in effect.
If we do not enforce a provision right away, we have not waived it.
You may not transfer these Terms without our written consent. We may transfer them in connection with a
merger, acquisition or sale of assets.
You confirm that you are not located in a country subject to a U.S. Government embargo and are not on any
U.S. Government list of prohibited or restricted parties.
